End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Tarragon Systems, Inc. (“Tarragon,” “we,” “us,” or “our”), governing your access to and use of Tarragon’s software products, services, and website (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by the terms of this Agreement. If you do not agree to this Agreement, do not use the Services.

1. License Grant

Tarragon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations, subject to the terms of this Agreement.

2. Restrictions

You may not:

• Copy, modify, or create derivative works based on the Services;
• Disassemble, reverse engineer, or decompile the Services;
• Use the Services for any unlawful purpose or to violate any law;
• Resell, sublicense, lease, or otherwise transfer the Services to any third party.

3. Ownership

All rights, title, and interest in and to the Services (including all intellectual property rights) are and will remain the exclusive property of Tarragon and its licensors. This Agreement does not grant you any ownership interest in the Services.

4. User Data

You retain all rights to the data you upload or generate using the Services (“User Data”). By using the Services, you grant Tarragon a limited, non-exclusive license to use, host, and process your User Data solely to provide and improve the Services.

5. Feedback

Any feedback, suggestions, or ideas you provide to Tarragon (“Feedback”) may be used by us without restriction or compensation to you. You agree that we may use such Feedback in any manner and for any purpose.

6. Termination

Tarragon may suspend or terminate your access to the Services at any time, with or without notice, if you violate this Agreement. Upon termination, your license will be revoked and you must cease use of the Services.

7. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Tarragon will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.

10. Changes to This Agreement

Tarragon may update this Agreement from time to time. We will notify you of material changes via the Services or by email. Continued use of the Services after changes take effect constitutes your acceptance of the revised Agreement.
